Virtual Office Terms & Conditions

  1. This Agreement only applies to those persons named on Page 1 and Skene Business Centres are not under any obligation to provide the service to any other person and are not responsible for any mail or calls received for any others.
  2. The Agreement continues for the initial term specified in this Agreement and thereafter until terminated by either party giving one months’ written notice to the other. Notices to terminate the Agreement must be in writing. Upon termination of the Agreement for whatever reason, it is the Client’s responsibility to notify all parties of the change of address. Subsequent mail sent to the Business Centre will be returned to sender.
  3. Virtual Office fees are payable in advance on the first day of each month as specified in the Agreement. Service charges for sundry items will be raised at the end of each month according to the work undertaken during that month.
  4. Skene Business Centres reserves the right at any time to withhold any services provided under this Agreement (with or without notice) or to terminate the Agreement if fees are not paid by the end of the day they are due. In the event of the charge or any other sums due by the Client being overdue for a period of 30 days, or more, or of any of the provisions herein contained being breached, Skene Business Centres will be entitled to terminate the Agreement forthwith on giving seven days’ notice in writing of the intention to do so, provided that such charge or other sums due shall not have been paid to Skene Business Centres within such period of notice. Payments due may also be offset against the deposit. Further, should the charge or any sums due by the Client fail to be received promptly, interest may be charged at 3% above the base rate prescribed by the Bank of Scotland.
  5. Skene Business Centres will not accept any items, which contain any dangerous, live or perishable goods and shall be entitled in its absolute discretion to returned uncollected items or refuse to accept any quantity of items it considers unreasonable or unlawful. Skene Business Centres does not guarantee or assume responsibility for any of the services hereunder.
  6. The Client warrants that it will not use any of the rights granted in this Agreement for any obscene, illegal, immoral or defamatory purposes and will not in any way bring Skene Business Centres into disrepute. The Client will not in any way whatsoever use or combine The Skene Group name, in whole or in part, for the purpose of trading activities. The Skene Group reserves the right to cooperate with any official investigating authority if required in relation to any allegations of impropriety against a Client.
  7. Skene Business Centres will not be liable for any loss sustained as a result of any mechanical breakdown, strike, delay or failure of any staff or manager to perform their duties.
  8. The Client may not offer employment to or hire any of the Skene Business Centres’ employees. This applies to the entire duration of the Agreement and six months following termination. If the Client contravenes this provision, Skene Business Centres will be entitled to compensation to the sum of three months’ salary of the employee(s) in question, to be paid within one month of the employee(s) terminating employment with the Skene Business Centres.
  9. The Client must upon application (and thereafter at any time on request by Skene Business Centres (acting reasonably)) provide at least two original forms of identification being proof of address (e.g. council tax bill, utility bill or bank or credit card statement) that is dated within three months from the date of application (or date of request of the identification by Skene Business Centres) and one form of valid photographic identification, either a passport or driver’s licence (or from the approved list that may change from time to time and available on request from Skene Business Centres), details of which may be passed to a credit agency for confirmation. If the Client is a company, the two original forms of identification must be provided for all the directors of the company and for each shareholder holding 25% or more of the share capital of the company (beneficial, legal or otherwise) from time to time.
  10. The Client acknowledges and accepts that Skene Business Centres are providers of mail forwarding, accommodation address and virtual office services and are bound by the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017. They are therefore required to maintain identification details for all clients requesting and using any of the above services. In order to verify any information provided, Skene Business Centres may make searches with various publicly available electronic databases, including credit reference or fraud prevention agencies, about any person or company referenced in the Agreement. In accordance with their obligations, Skene Business Centre may on occasion need to obtain additional identification from the Client. The Client should also be aware that Skene Business Centre have an obligation to report any suspicious activities to the appropriate authorities without informing the Client. The Client agrees that Skene Business Centre may at the request of HMRC or any UK or Scottish Government department or agency provide HMRC or such department or agency with access to or copies of any information which Skene Business Centre hold in respect of the Client and its directors and shareholders.
  11. The Client shall, as soon as reasonably practicable, inform Skene Business Centres of any changes to its ownership and, where relevant, any changes to its directors or partners or share ownership.
  12. Should the Client casually use an office at any Skene Business Centres, the Client will use all reasonable endeavours to ensure that the internet service is used or includes content that conforms to Scottish Law and will not knowingly permit any illegal use that will bring Skene Business Centres’ network into disrepute. The Client will not transmit, receive or store any material which they knew prior to receipt to be offensive, abusive, indecent, obscene or menacing; or in breach of confidence, copyright, privacy or any other rights. Skene Business Centres will be entitled to remove any offending material from the network.
  13. Skene Business Centre will immediately discontinue the Client’s internet service and Virtual Office and/or terminate this agreement for contravention of any of the above conditions. The Client acknowledges that Skene Business Centre may from time to time monitor internet usage to prevent any misuse.
  14. Skene Business Centres shall be entitled to terminate this agreement and/or any services should the Client be in breach of any of these terms and conditions and/or if the Client ceases trading or threatens to cease trading or if the Client is a company, and the Client passes a resolution or the court makes an order that it should be wound up or that an administrator be appointed, or if the Client makes a composition or an arrangement with its creditors, or if a receiver or manager or administrator on behalf of a creditor is appointed, or if circumstances arise which entitle the court or a creditor to appoint a receiver, manager or administrator or which entitle the court to make a winding up order; or if the Client is an individual, becomes bankrupt or sequestrated.
  15. All rents and charges will be subject to an annual review on 1st February.
  16. A deposit equivalent to one month’s rental is payable and will be set against any outstanding monies and the balance refunded when the Agreement is terminated.
